Intellectual Property Rights

For example, Differential Ventures’ terms similarly state that “All content on this Site… is the property of [the company]… and is protected by United States and international copyright laws”. Accordingly, all content on the PSI Site is protected by U.S. copyright, trademark, and other intellectual property laws. PSI (and its licensors) own all rights in the Site content.

The names “Practical Solutions, Inc.,” “PSI,” and our logos and designs are trademarks or service marks of PSI. You may not use any PSI trademarks or logos without our prior written permission (for example, Differential Ventures’ terms prohibit using their name or logo without consent).

License and Permitted Use

PSI grants you a limited, non-exclusive, revocable license to access and use the Site for personal, non-commercial purposes only. You may view and print content from the Site for your personal, non-commercial use, provided you keep intact all copyright and proprietary notices. You may not reproduce, publish, transmit, distribute, sell, license, or commercially exploit any part of the Site or its content without PSI’s express prior written permission. In other words, you must not copy, modify, republish, frame, or create derivative works from the Site content except as expressly allowed here. Any unauthorized use of the Site content is a violation of PSI’s intellectual property rights.

Prohibited Uses

You agree not to use the Site for any illegal or unauthorized purpose. For example, PSI prohibits use of the Site:

You access any linked site at your own risk, and such access is governed by that site’s terms and policies, not PSI’s.

Disclaimer of Warranties

The Site is provided “as is” and “as available,” without any warranties of any kind. For example, Differential Ventures’ terms expressly state the Site is provided on an “as is” basis “without any warranties of any kind”. Likewise, PSI expressly disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, or non-infringement. PSI does not guarantee that the Site will be uninterrupted, timely, secure, or error-free, and PSI does not warrant that the Site or its server are free of viruses or other harmful components. PSI makes no representations about the accuracy, completeness, or reliability of any content on the Site. You assume all risk for any reliance on the Site’s content. PSI is not providing technical, legal, or financial advice; any implementation of information on the Site is at your own risk.

Accessibility and Availability

While PSI strives to maintain an accessible site, we do not guarantee compliance with all web accessibility standards (such as ADA or Section 508). PSI also does not guarantee that the Site will be available at all times. Access may be suspended temporarily or permanently without prior notice. For example, PwC’s terms note that access may be suspended at any time without notice. PSI will not be liable for any consequences arising from outages, access limitations, or changes to the Site.

Limitation of Liability

To the fullest extent permitted by law, PSI (and its affiliates, officers, employees, and agents) will not be liable for any damages arising out of or related to your use or inability to use the Site. This includes any direct, indirect, incidental, special, consequential, or punitive damages (such as loss of profits, data, use, business, or goodwill), regardless of legal theory and even if PSI was advised of the possibility of such damages. In Differential Ventures’ terms, for example, the company disclaims liability for all such damages. PSI’s total liability for any claim related to the Site will be limited to the maximum extent permitted by law. Nothing in these Terms excludes any liability that cannot be excluded under applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless PSI and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms, your misuse of the Site, or your violation of any laws or the rights of third parties. For example, Differential Ventures’ terms require users to “defend, indemnify, and hold harmless [the company]… from and against any claims… arising out of or relating to your violation of these Terms or your use of the Site”. PSI’s indemnity clause is similarly broad.

Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them shall be governed by the laws of the District of Columbia, without regard to conflict-of-law rules.

Arbitration

In lieu of court proceedings, you and PSI agree that any dispute, claim, or controversy arising under or relating to these Terms or your use of the Site will be resolved exclusively by final and binding arbitration in Washington, D.C., administered by the American Arbitration Association under its Commercial Arbitration Rules. As the AAA notes, disputes may be “settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules”. The arbitrator’s decision will be final and binding on both parties, and may be entered as a judgment in any court of competent jurisdiction (including Washington, D.C. courts). Both you and PSI waive any right to a jury trial or to participate in a class-action lawsuit. Any decision to require arbitration or enforce an arbitration award will still be governed by this agreement. If for any reason a dispute proceeds in court, both you and PSI agree to submit to the personal jurisdiction of the federal and state courts located in Washington, D.C.

Termination

PSI reserves the right, in its sole discretion, to modify, suspend, or discontinue all or any part of the Site or these Terms at any time, with or without notice and for any reason. For example, PwC explicitly states that access to its website may be suspended at any time without notice. PSI will not be liable for any losses or damages resulting from such changes, suspension, or termination of access.

Changes to Terms

PSI may revise these Terms of Use at any time. We will post the updated Terms on this Site and update the Effective Date above. Your continued use of the Site after any changes are posted constitutes your acceptance of the new Terms. We encourage you to review the Terms each time you visit the Site.

Severability and Waiver

If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, the remainder of the Terms will remain in full force and effect. No failure or delay by PSI in enforcing any right or provision will operate as a waiver of that right or provision.
